These Terms of Service (the "Terms") are a legally-binding agreement between Humai and any individual or entity ("you" or "User") that downloads, accesses, or uses the Hun nest mobile application, web application, associated software, content, and related services (collectively, the "Service"). By using the Service you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and Account Requirements
1.1 Age Requirement
The Service is intended only for individuals 18 years of age or older. By using the Service you warrant that you meet this requirement and have capacity to enter a contract. We reserve the right to verify age at any time and may suspend accounts pending verification.
1.2 Jurisdictional Compliance & Restricted Territories
You are responsible for compliance with the laws of the place where you are located. Do not use the Service if local law prohibits it. The Service is not available in countries subject to comprehensive UAE, U.S., EU, or UN sanctions, or where provision would violate applicable export control laws.
1.3 Account Registration, Security & Individual Use
You must create an account with accurate information and keep it up-to-date. You are solely responsible for safeguarding your credentials and all activity that occurs under your account. Accounts are personal and may not be shared, transferred, or sold. We may require additional verification for security purposes. Notify us immediately at support@hunnest.com of any unauthorized use of your account or any other breach of security.
2. Changes to Terms
We may modify these Terms at any time at our sole discretion. Material changes will be announced at least 30 days in advance by e-mail, in-app notice, or a prominent banner on our website and by updating the "Last Updated" date at the beginning of these Terms. Non-material changes may be implemented immediately. Changes take effect 30 days after notice (or immediately for non-material changes). If you disagree, you must stop using the Service before the new Terms take effect; continued use constitutes acceptance.
3. Description of the Service
Hun nest is a relationship-wellness platform that offers AI-powered guidance, shared tasks and goals, HeartBank memory vault, relationship analytics, and related content designed to help adult couples improve communication, connection, and personal growth.

THE SERVICE, INCLUDING ITS AI-POWERED GUIDANCE, IS FOR INFORMATIONAL AND SUPPORTIVE PURPOSES ONLY AND DOES NOT CONSTITUTE, AND SHOULD NOT BE INTERPRETED AS, PROFESSIONAL COUNSELLING, THERAPY, MEDICAL, LEGAL, FINANCIAL, OR CRISIS-INTERVENTION SERVICES. HUMAI DOES NOT EMPLOY LICENSED THERAPISTS, COUNSELORS, OR MEDICAL PROFESSIONALS TO PROVIDE SUCH ADVICE THROUGH THE SERVICE. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE EFFECTIVENESS OF THE SERVICE FOR ANY PARTICULAR RELATIONSHIP OR SITUATION. OUTCOMES VARY SIGNIFICANTLY BETWEEN INDIVIDUALS AND COUPLES. IF YOU OR ANYONE ELSE IS IN DANGER OR EXPERIENCING THOUGHTS OF SELF-HARM, CALL YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY.
4. Subscriptions, Fees & Billing
4.1 Subscription Plans
Certain features require a paid subscription ("Subscription"). Current plans, pricing, and benefits are shown in-app and on our website and are incorporated by reference. Prices may vary by geographic region.
4.2 Trials & Promotions
Free trials or promotions convert to paid Subscriptions unless you cancel before the trial ends via the same store or portal used for purchase. We reserve the right to limit trial availability and eligibility at our discretion.
4.3 Auto-Renewal & Billing
Subscriptions renew automatically for successive periods equal to the initial term unless cancelled. You authorise Humai or its payment processor to charge the Subscription fee. Subscription fees are exclusive of any applicable VAT, GST, sales tax, or other similar governmental charges or levies ("Taxes"). You are responsible for paying all such Taxes. Where Humai has a legal obligation to collect Taxes, the applicable Taxes will be added to your bill. If payment fails we may suspend or terminate paid features immediately without notice.
4.4 Cancellation & Refunds
You may cancel at any time via the platform where you subscribed (e.g., Apple App Store, Google Play Store, or our website). Access to paid features continues until the end of the current cycle. App-store purchases: refunds are handled exclusively by Apple App Store or Google Play in accordance with their policies; Humai cannot issue refunds for those transactions. For direct website purchases within the UAE, you may be entitled to a refund within 14 days of purchase in accordance with UAE consumer protection laws, provided less than 25% of the Service has been consumed. All other direct purchases: please contact support@hunnest.com for refund requests, which will be evaluated on a case-by-case basis in our sole discretion. We do not provide prorated refunds except where required by applicable law or where a verified technical fault attributable to Humai prevents service delivery for more than 72 consecutive hours.
4.5 Pricing Changes
We may change fees with 30 days' advance notice for existing subscribers. New prices apply immediately to new subscriptions. The new price applies on the next billing date; you may cancel before then.
5. Licence & Proprietary Rights
5.1 Limited Licence
Subject to these Terms, we grant you a personal, non-transferable, revocable licence to install the mobile app on devices you own or control and to use the Service for non-commercial purposes. This licence terminates automatically upon any breach of these Terms.
5.2 Intellectual Property Rights
Humai and its licensors retain all right, title, and interest in and to the Service, including all related intellectual property rights (such as copyrights, patents, trademarks, trade secrets, algorithms, and know-how). The Service contains proprietary AI models, algorithms, and methodologies developed by or licensed to Humai. You may not copy, modify, reverse-engineer, decompile, disassemble, sell, lease, or create derivative works from any part of the Service without our express written consent. Any attempt to do so will result in immediate termination and may subject you to legal action.
5.3 Feedback
Any ideas, suggestions, or feedback you provide about the Service become Humai's exclusive property without compensation to you. We may use, modify, and commercialize such feedback without restriction or attribution.
6. User Content & Data
6.1 Definition
"User Content" means any data, text, media, or other material you or your authorized partner submit via the Service, including HeartBank entries, communications, AI interactions, and relationship data.
6.2 Licence to Humai
You grant Humai a worldwide, royalty-free, non-exclusive licence to host, process, display, analyze, and use your User Content as necessary to operate, provide, develop, improve, and market the Service and related products. You retain ownership of your original User Content, but this licence permits us to: (a) process and analyze your data to provide personalized features; (b) use anonymized, aggregated, or de-identified data derived from User Content to improve our AI models, develop new features, conduct research, and for other business purposes; (c) create derivative works and insights from User Content for service improvement; and (d) make your User Content available to authorized third-party service providers who assist in operating the Service. This licence continues even after account termination for anonymized, aggregated, or de-identified data, which we may retain and use indefinitely for analytics, research, AI training, and business purposes in accordance with our Privacy Policy.
6.3 Your Responsibilities & Warranties
You warrant that you have all rights to the User Content and that it is lawful and does not infringe third-party rights. You must not submit unlawful, harmful, hateful, defamatory, or abusive content. You are solely responsible for all User Content and its consequences. You represent that User Content does not contain confidential information of third parties or violate any confidentiality obligations.
6.4 Content Monitoring & Removal
Humai is not obliged to monitor Content but reserves the right to review, monitor, and remove any User Content at any time for any reason in our sole discretion, including content that violates these Terms, applicable law (including UAE Cyber-Crime Law), or our community standards. We may use automated systems and AI to detect prohibited content. For alleged copyright infringement, send a DMCA notice to dmca@hunnest.com; we will respond in accordance with applicable law.
6.5 AI Training & Content Use
BY USING THE SERVICE, YOU ACKNOWLEDGE AND CONSENT TO HUMAI USING YOUR USER CONTENT (IN ANONYMIZED, AGGREGATED, OR DE-IDENTIFIED FORM) TO TRAIN, IMPROVE, AND DEVELOP AI MODELS AND ALGORITHMS, BOTH FOR THE SERVICE AND FOR OTHER HUMAI PRODUCTS OR SERVICES. This use continues indefinitely and survives account termination.
6.6 No Reliance Duty for AI Outputs
You acknowledge that AI-generated outputs are algorithmic predictions based on patterns in data and may contain errors, biases, or inappropriate content. You agree not to rely solely on AI outputs for medical, legal, financial, relationship, or other critical decisions. AI outputs are not professional advice and should be independently verified.
7. Prohibited Conduct
You agree not to:
- use the Service unlawfully or for any illegal purpose;
- upload illegal, infringing, or harmful content;
- harass, abuse, or harm others;
- reverse-engineer, decompile, or tamper with the Service's security or functionality;
- use automated scraping, bots, or similar tools;
- introduce malware or harmful code;
- impersonate any person or entity;
- collect personal data of others without consent;
- interfere with or disrupt the Service;
- attempt to gain unauthorized access to other accounts or systems;
- use the Service for commercial purposes without authorization; or
- violate any applicable laws or regulations.
We may suspend or terminate accounts engaged in prohibited conduct immediately without notice, and you remain liable for any damages caused by such conduct.
8. Third-Party Services & Links
The Service may link to or integrate with third-party services, including payment processors, cloud storage providers, and analytics services. Humai does not control and is not responsible for third-party content, terms, privacy policies, or data practices. Your dealings with third parties are solely between you and them. We disclaim all liability related to third-party services and integrations. Third-party data charges (e.g., mobile carrier fees) remain your responsibility.
9. AI Features & Enhanced Disclaimers
9.1 AI-Generated Content & Limitations
AI responses are generated by machine-learning models trained on various data sources and may be incomplete, inaccurate, biased, inappropriate, or outdated. AI models may reflect biases present in training data. We do not guarantee the accuracy, reliability, or appropriateness of AI outputs.
9.2 No Professional Services
THE SERVICE PROVIDES GENERAL INFORMATION ONLY. HUMAI IS NOT A LICENSED THERAPIST, HEALTHCARE PROVIDER, LEGAL ADVISER, OR RELATIONSHIP COUNSELOR. THE AI FEATURES DO NOT PROVIDE PROFESSIONAL THERAPY, MEDICAL DIAGNOSIS, LEGAL ADVICE, OR CRISIS INTERVENTION. SEEK PROFESSIONAL HELP WHEN NEEDED.
9.3 Accuracy & Reliability Disclaimers
AI outputs are experimental and provided "as is." Use at your own risk and apply independent judgment. We disclaim all responsibility for decisions made based on AI outputs.
9.4 No Guarantee of Outcomes
We make no promises regarding relationship outcomes, personal growth, communication improvement, or other results. Individual results vary significantly and depend on factors beyond our control.
9.5 Continuous Development
AI features are continuously evolving. We may modify algorithms, training data, or AI functionality at any time without notice, which may affect the nature of AI outputs you receive.
10. Termination
You may terminate your account at any time by contacting support@hunnest.com or using in-app settings. We may suspend or terminate your access immediately without notice for any breach of these Terms, illegal activity, or at our sole discretion. Upon termination: (a) your licence to use the Service ends immediately; (b) you must stop using the Service; (c) we may delete your account and User Content, subject to our Privacy Policy and legal retention requirements; and (d) provisions that by their nature should survive (including Sections 5, 6, 13-17) will continue to apply.
11. Privacy & Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy at https://hunnest.com/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.
12. Service Availability & Modifications
We strive to maintain Service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Service at any time with or without notice. We may also impose usage limits or restrict access to certain features. We are not liable for any modification, suspension, or discontinuation of the Service.
13. Enhanced Disclaimers & Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR SECURITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. WE DISCLAIM ALL WARRANTIES REGARDING AI ACCURACY, RELATIONSHIP OUTCOMES, DATA SECURITY, AND THIRD-PARTY INTEGRATIONS. YOUR USE IS ENTIRELY AT YOUR OWN RISK.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) HUMAI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (b) HUMAI'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF USD 500 OR THE AMOUNT YOU PAID HUMAI IN THE 12 MONTHS PRECEDING THE CLAIM; AND (c) THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by applicable law.
15. Indemnification
You will defend, indemnify, and hold harmless Humai and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your User Content or any violation of Section 6.3; (c) your breach of these Terms or applicable law; (d) your violation of any third-party rights; or (e) any dispute between you and any third party. Humai reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with Humai's defense of such claim.
16. Governing Law & Enhanced Dispute Resolution
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the federal laws of the UAE, without regard to conflict of law principles.
16.2 Mandatory Informal Resolution
Before initiating any legal proceeding, you must contact support@hunnest.com and attempt to resolve disputes informally for at least 60 days. Failure to comply with this requirement bars any legal action.
16.3 Binding Arbitration
Any unresolved dispute shall be finally settled by binding arbitration under the Dubai International Arbitration Centre (DIAC) Rules by one arbitrator in Dubai, in English. The arbitration will be confidential. The arbitrator's award shall be final and binding, and judgment may be entered in any competent court. You waive any right to a jury trial.
16.4 Arbitration Costs
The allocation of arbitration fees and costs, including reasonable attorneys' fees, shall be determined by the arbitrator in accordance with the DIAC Rules and applicable law. Humai reserves the right to seek recovery of its fees and costs if it is the prevailing party.
16.5 Injunctive Relief & Specific Courts
Nothing prevents either party from seeking injunctive or equitable relief in competent courts for intellectual property infringement, data breaches, or other matters requiring immediate judicial intervention. UAE residents may access UAE Consumer Courts for consumer protection matters as required by law, but monetary claims remain subject to arbitration.
16.6 Class-Action & Collective Action Waiver
All disputes must be resolved on an individual basis. You waive any right to participate in class actions, collective actions, or representative proceedings. The arbitrator may not consolidate multiple persons' claims or preside over any representative proceeding.
17. Regulatory Compliance & Enhanced Miscellaneous Provisions
17.1 Export Control & Sanctions Compliance
You represent and warrant that you: (a) are not located in, resident of, or subject to the jurisdiction of any country subject to comprehensive sanctions by the UAE, U.S., EU, or UN; (b) are not listed on any restricted party list; (c) will comply with all applicable export control and sanctions laws; and (d) will not use the Service in violation of such laws. We may suspend or terminate access based on sanctions or export control requirements.
17.2 Anti-Money Laundering & Know Your Customer
We may implement enhanced due diligence procedures, including identity verification and transaction monitoring, to comply with anti-money laundering and know-your-customer requirements. You agree to provide requested information and documentation.
17.3 Tax Compliance
You are responsible for all applicable taxes related to your use of the Service. We may collect and remit taxes as required by applicable law but make no representations regarding your tax obligations.
17.4 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements explicitly incorporated by reference, constitute the entire agreement between you and Humai and supersede all prior understandings, agreements, representations, and warranties.
17.5 Severability & Modification
If any provision is held unenforceable, it shall be reformed to the minimum extent necessary to make it enforceable, and the remainder will remain in full effect. Only Humai may modify these Terms as specified in Section 2.
17.6 No Waiver
Failure to enforce any provision is not a waiver of future enforcement. Any waiver must be in writing and signed by Humai.
17.7 Assignment & Successors
You may not assign these Terms without our prior written consent. Humai may assign these Terms in connection with any merger, acquisition, sale of assets, or by operation of law. These Terms bind successors and permitted assigns.
17.8 Force Majeure
Humai is not liable for delays or failures due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, government actions, pandemics, or third-party service failures.
17.9 Notices & Communications
Except as otherwise specified, all notices will be in writing and deemed received when: delivered personally; sent by certified mail (return receipt requested); electronically confirmed if transmitted by email; or the day after sending by recognized overnight delivery service. Electronic notices to Humai should be sent to support@hunnest.com. Electronic notices to you will be sent to your account email address. You consent to electronic communications and agree they satisfy any legal requirement for written notice.
17.10 Language & Translation
These Terms are drafted in English. Any translation is provided for convenience only, and the English version controls in case of conflicts.
17.11 Statute of Limitations
Any claim or cause of action arising under these Terms must be filed within one (1) year after the claim arose, or it will be permanently barred.
